SEC Exemption Conditions: What a Token Contract Can’t Prove
A stock halts on its exchange. How many hops before the on-chain pool stops trading it?

IN 30 SECONDS
The SEC innovation exemption is an order with conditions: volume caps, issuer notice, same rights as the stock, halts and a public notice. Some can run in a contract; others rest on legal papers, attestations and outside data.
KEY TAKEAWAYS · 3
- Release No. 34-106402 gives two five-year exemptions, under conditions, from 17 September 2026 to 17 September 2031. The SEC can change them.
- A token contract alone can’t establish same rights, custody backing in a third-party model, issuer notice or a timely halt signal.
- Before trusting a venue’s notice, ask in writing: which layer restricts transfers, who holds the keys, how fast halts arrive, which audits cover which contracts.

What a token contract can’t prove on its own
IN SHORT Some of the order’s conditions can’t live in a smart contract, however good the token standard.
WORDS TO KNOW
- Attestation
- Here: a third party’s statement that the reserves backing a token exist.
- Trading halt
- A pause in trading a stock, ordered on its primary market.
- Oracle
- A service that brings outside data onto a blockchain.
The right column is my classification, for the design OKXICE describes: where a condition can be enforced, not proof that any design meets it.
To check same rights, OKXICE says it uses the tokenizer’s legal statements, a reserve Attestation Here: a third party’s statement that the reserves backing a token exist. See the glossary and written pass-through steps. A token standard can’t prove a dividend will be passed through.
IN PLAIN WORDS
Attestations can be referenced on-chain; the contract still can’t verify what they attest.
Halts are where I’d look hardest. OKXICE’s contracts use no Oracle A service that brings outside data onto a blockchain. See the glossary. A third-party data feed signals the Trading halt A pause in trading a stock, ordered on its primary market. See the glossary.
A HALT, HOP BY HOP
Step 1. Halt. The primary market halts the stock. The order says the pool must stop “concurrently”, at the same time.
- Halt The primary market halts the stock. The order says the pool must stop “concurrently”, at the same time.
- Data feed A third-party data feed reports the halt.
- Monitor An off-chain monitor reads it and calls the pool’s pause.
- Pause The pause lands on-chain and the pool stops. Each hop, up to on-chain inclusion, can add delay.
The pause is code. Its timing isn’t.
WATCH OUT
Pausing the ERC-3643 token instead of the pool stops ordinary transfers everywhere, not just on one venue: broader than the order asks.
Coming up next: So what should you ask a venue?
Four questions to ask a venue
IN SHORT I’d want these answers in writing before trusting a venue’s notice.
None of these answers make a venue compliant or not; that’s a legal judgment. They tell you which layer is doing the work.

FAQ
An SEC order of 17 September 2026, in force that day. Under conditions and for a limited time, it exempts venues running permissioned pools for tokenized NMS stock from the definition of an “exchange”, and some of their liquidity providers from that of a “dealer”. Fraud and market manipulation rules still apply.
On 17 September 2031, says the order. The SEC can change the length or any other part, and asks the public to comment on possible changes.

- Which conditions a contract can enforce, and which rest on papers.
- Why a pause in code depends on outside halt data.

A 2.5% volume cap for Tier 2 stocks: pool or token, and why?
The pool: the order compares the average daily volume of the venue and its affiliates in that token with the stock’s prior-month average. A token rule could cap amounts, but that’s another metric.
